Managing Contract Revisions, Approvals and Records for a Singapore Rental & Finance Team with Zoho Contracts
Client Profile
The client is a Singapore-based rental business whose rental and finance teams jointly manage its customer agreements. The rental team owns the customer relationship and the commercial terms of each agreement. The finance team owns billing schedules, deposits, payment terms and the records that support invoicing.
Rental agreements rarely stay as first signed. Terms are extended, rates are adjusted at renewal, billing arrangements change and items are added to or removed from an agreement during its term. Every one of those changes has to be reviewed, approved and recorded, so that both teams are working from the same agreed terms.
Existing Setup: How Contracts, Revisions, Approvals and Records Were Handled
The team used Word templates saved on the shared drive to prepare the agreements. Whenever a customer requested changes or there were new terms at renewal, the rental team made the changes in a copy and sent it to finance by email for checking.
Approval came back by email from the finance manager or a director, depending on the size of the change. Signed copies were saved as PDFs in customer folders. A spreadsheet maintained by the finance team listed each agreement with its start date, end date and a notes column describing later amendments.
The arrangement worked while the agreement volume was smaller. As the portfolio grew and agreements went through more revisions, the team needed a more structured way to manage versions, approvals and contract history.
The Challenge: Tracking Amendments, the Latest Version and Approval History
Amendments kept apart
Amendments were maintained separately from the original agreement, which meant the team had to refer to both when reviewing the contract history.
Approvals buried in email
Approvals were handled through email, so the team needed to refer back to correspondence when checking an approval or the version reviewed.
Manual tracking sheet
The tracking sheet was updated manually alongside the contract process, requiring the team to keep agreement changes and finance records in sync.
Renewals tracked by hand
Renewal and expiry dates were tracked manually, so the team sometimes had to handle renewals close to the due date.
History rebuilt on demand
Answering a customer query or an audit request meant rebuilding an agreement's history from several sources.
How a Contract Revision Moved Between Teams
| Stage | Owner | What happens | Where additional coordination was required |
|---|---|---|---|
| 1. Change requested | Rental team | A customer or account manager raises a change: an extension, a revised rate, a new billing arrangement or a change to what is on rent. | Requests arrive by email, phone and in person, with no single log |
| 2. Revision drafted | Rental team | The agreement wording is updated to reflect the change. | Edits were made on whichever copy was on hand |
| 3. Finance review | Finance team | Rates, deposits, payment terms and the billing schedule are checked. | Comments came back as marked-up attachments |
| 4. Approval | Finance manager or director | The change is signed off according to its size. | Approval was an email reply, separate from the document |
| 5. Customer review and signature | Customer and authorised signatory | The customer reviews the revision, and both parties sign. | Further edits at this stage were not always re-approved |
| 6. Record keeping | Finance team | The signed revision is filed and the billing record updated. | Filing and spreadsheet updates relied on someone remembering |
Zoho Contracts Configured Around the Contract Lifecycle
Contract Types and Templates
The Zoho implementation was configured around the client's existing approval structure. The client's rental agreements were set up as contract types with approved templates and a clause library. New agreements and revisions now start from current, approved templates and clauses configured for the client's requirements.
A Central Repository
Active agreements were brought into Zoho Contracts with their signed copies, giving both teams one place to search and filter by customer, status and key dates.
Revision Management
A change to a signed agreement is raised as an amendment on the contract record itself. The contract owner edits the terms in the built-in editor, and Zoho Contracts generates an amendment letter from a letter template. The letter lists earlier amendments, renewals and extensions in chronological order, then sets out what changes this time. Version control keeps every draft, so users can compare two versions or restore an earlier one.
Approval Workflows
Approval workflows were configured to match the client's sign-off rules, with finance review first and management approval after it. Zoho Contracts supports both sequential and parallel approvals. An amendment goes through approval, negotiation and signature before it takes effect.
Customer Review and Signature
The updated agreement is sent to the customer to review. Any changes they make are shown in the document, and once the final version is approved, it is sent through Zoho Sign for signing in the required order.
Contract Records and History
The contract keeps a record of the work done on it, including who prepared, approved and signed it and when. Alerts help the team keep track of upcoming renewals, while the calendar makes the important dates easier to see.
Roles and Permissions
Rental staff, finance staff and approvers each have access suited to their part in the process.
Before and After Results
| Area | Before | After |
|---|---|---|
| Contract storage | Shared drive folders, inboxes and scanned PDFs | One central repository in Zoho Contracts |
| Latest version | Identified by file name and memory | Current version on the contract record, with earlier versions kept for comparison |
| Amendments | Separate documents filed alongside the original | Raised on the contract itself, with a letter listing prior changes in order |
| Approvals | Email replies that were hard to trace later | A defined approval workflow with each decision recorded |
| Customer review | Marked-up attachments exchanged by email | Online review with tracked changes |
| Renewals and expiries | Monitored by hand in a spreadsheet | In-app and email alerts ahead of key dates |
| Contract history | Rebuilt from emails and folders when needed | An audit trail of every activity on the record |
Business Impact
The rental and finance teams now work from the same contract record. When a customer queries a rate or a billing arrangement, either team can open the agreement, see the current terms and trace how they came to be.
Finance no longer has to rely on a note in a spreadsheet to know when contract terms have changed. The approved and signed amendment stays with the contract, along with the related approvals. The rental team also spends less time following up over email because approvers are notified when something needs their attention, and everyone involved can see the current status.
Management now has a clearer view of the contract portfolio, including agreements under revision and those coming up for renewal. When new agreement types or approval steps are added, the templates and workflows can be updated without changing the whole setup.
Conclusion
Rental agreements change throughout their life. Terms are extended, renewals bring new rates and billing arrangements are updated, and each change needs to be reviewed, approved and recorded. For this Singapore rental and finance team, the key requirement was to manage those changes in a consistent way while keeping the agreement history, approvals and latest version together. Xponential Digital set up Zoho Contracts to match the way the teams were already handling revisions. This gave the client one clear process for making changes and keeping track of each agreement, including what was changed, the latest version, and who approved it.
